چکیده
علیرغم اینکه تصاحب شرکت‌ها معمولا به عنوان یک استراتژی رایج در راستای رشد و توسعه شرکت‌ها بکار گرفته می‌شود، این فرآیند دارای اثرات غیرقابل اجتنابی است. بدین توضیح که تصاحب عملا مجموعه بازیگران شرکت‌ها را تحت تأثیر قرار می‌دهد و در بسیاری موارد، منجر به منافع پیش‌بینی شده نمی‌شود. یکی از دلایل این امر، ماهیت نهاد تصاحب است که بر خلاف نهادهای حقوقی مشابه دیگر نظیر ادغام، عمدتا به صورت خصمانه و بر خلاف خواستِ ارکان شرکت هدف صورت می‌پذیرد.
در این پژوهش به روش تحلیلی-توصیفی و با مطالعه تطبیقی به این پرسش پرداخته می‌شود که تصاحب چه اثری بر سهامداران و مدیران شرکت برجای می‌گذارد؟
طبق یافته‌های پژوهش حاضر، منافع مدیران بدون وجود مقررات خاص در حوزه تصاحب، تأمین می‌گردد؛ لیکن ممکن است در صورت عدم وجود مقررات حمایتی، منافع سهامداران در فرآیند تصاحب تأمین نشود. این واقعیت به ویژه در حقوق ایران از اهمیت بیشتری برخوردار است؛ چون عمده قوانین موجود در حوزه قانونگذاریِ نهاد ادغام بوده و در مورد تصاحب، قانونگذار بدون اشاره به نام آن، قواعدِ محدود مرتبط با این حوزه را به صورت پراکنده و غیرمتمرکز بیان داشته است.
