مسئولیت اجتماعی شرکت‌ها در حقوق ایران و اتحادیۀ اروپا پس از تصویب دستورالعمل اروپایی ارزیابی دقیق پایداری شرکتی (مصوب 2024)

چکیده

با تصویب مقرراتی مانند دستورالعمل جدید اتحادیة اروپا برای ارزیابی دقیق پایداری شرکت‌ها (مصوب 2024) و آیین نامۀ مسئولیت اجتماعی شرکت‌های تحت مدیریت دولت (مصوب 1404، هیات وزیران ایران)، فعالیت‌های شرکت‌ها وارد مرحلۀ جدیدی از مسئولیت قانونی شده‌اند. بر اساس این چارچوب‌ها، شرکت‌ها موظف‌اند ریسک‌های مربوط به حقوق بشر و محیط زیست را در کل زنجیره تأمین خود، از جمله تأمین‌کنندگان و پیمانکاران فرعی در خارج از کشور، شناسایی، کاهش و رفع کنند. حوزۀ نوظهور حقوق شرکت‌ها، حاکمیت شرکتی و پایداری، به‌ویژه در پرتو هم‌افزایی بحران‌های زیست‌محیطی، اجتماعی و اقتصادی جهانی، به یکی از پویاترین حوزه‌های حقوق و سیاست‌گذاری بدل شده است. در این زمینه، درک نقش و مسئولیت شرکت‌ها در قبال جامعه و محیط زیست، و شناسایی ظرفیت‌های آن‌ها برای مشارکت در توسعه پایدار، ضرورتی حیاتی یافته است. اتحادیه اروپا در چارچوب اهداف بلندمدت خود برای معامله سبز اروپا، به‌ویژه تحقق خنثی‌سازی کربن تا سال ۲۰۵۰، اقدامات تقنینی گسترده‌ای را دنبال کرده است. تصویب «دستورالعمل ارزیابی دقیق پایداری شرکتی» (CSDDD)، گامی اساسی در جهت تعبیه اصول پایداری در ساختار حقوقی شرکت‌ها به شمار می‌رود. این دستورالعمل با الزامی‌سازی شناسایی، پیشگیری و گزارش‌دهی درخصوص آثار منفی زنجیره‌های تأمین بر حقوق بشر، محیط زیست و تغییرات اقلیمی، چارچوبی الزام‌آور برای مسئولیت‌پذیری شرکتی ارائه می‌دهد. با این حال، این مقاله با روش مطالعۀ تطبیقی - کتابخانه‌­ای نشان می‌دهد که نسخه نهایی دستورالعمل، باوجود  اهداف اولیه بلندپروازانه، با چالش‌هایی چون دامنۀ محدود، حذف برخی حوزه‌های حساس نظیر بخش مالی، و ابهامات مقرراتی مواجه است. مقاله بر ضرورت بازنگری در جنبه‌های ساختاری و نظارتی دستورالعمل برای تضمین اثربخشی واقعی آن تأکید دارد.
