واکاوی ماهیت و قالب حقوقی صندوق ثروت حاکمیتی خارجی در بازار سرمایه ایران با نگاهی بر اسناد بین المللی

چکیده
اتکاء صندوق‌های ثروت حاکمیتی بر درآمدهای ملّی و نظارت دولت‌ها بر آنها از یک‌سو، و روش‌ها و مدل‌های غیرحاکمیتی سرمایه‌گذاری آنها، از سوی دیگر، موجب گردیده ماهیت و قالب حقوقی این صندوق‌ها دارای ابهام و پیچیدگی باشد. در این میان، با توجه به ماهیت غیرمستقیم سرمایه‌گذاری در بازار سرمایه، ابهامات مرتبط در اینجا، به‌ویژه در کشورهایی همچون ایران، که فاقد مقررات اختصاصی در این زمینه هستند، بیش از سایر حوزه‌های اقتصادی می‌باشد. هدف پژوهش حاضر رفع این ابهامات، به مثابه یکی از مقدّمات ضروری سرمایه‌گذاری این نوع صندوق‌ها در بازار سرمایه ایران، است. بر مبنای نتایج پژوهش تأمین سرمایه توسط دولت، اداره در راستای منافع آن و نقش‌آفرینی در اهداف کلان اقتصادی، صندوق ثروت حاکمیتی را از زمره مؤسسات مالی انحصاری و ترتیبات اداره دارایی خصوصی قرار می‌دهد. بر مبنای آنکه صندوق‌های ثروت حاکمیتی خارجی سرمایه‌گذار حرفه‌ای می‌باشند، در عمل می‌بایست برای حضور آنها در بازار سرمایه و از منظر بهره‌مندی از مقرّرات حمایتی، در حدود متناسب با ترجیحات اقتصادی کشور، انعطاف صورت گیرد؛ به گونه‌ای که نه به مثابه نهاد مالی با مراحل پیچیده مواجه باشند و نه به مثابه سرمایه‌گذار خرد از امتیازات خاص بهره‌مند شوند. در ماده 4 قانون تشویق و حمایت سرمایه‌گذاری خارجی می‌بایست به موازات مفهوم «شرکت دولتی» اصطلاح عام «نهادهای سرمایه‌گذاری وابسته به دولت» نیز به‌کار رود و قید «مادامی که از زمره اعمال حاکمیتی نباشد»، به عنوان شرط خصوصی تلقّی گردیدن سرمایه‌گذاری این صندوق‌ها، افزوده شود.
